SALE-PURCHASE AGREEMENT

collectively hereinafter referred to as the “Parties” and each individually as the “Party” concluded this Sales – purchase contract, hereinafter referred to as “Agreement” and agreed as follows:

TERMS AND DEFINITIONS

SUBJECT-MATTER OF THE CONTRACT

Under this Agreement the Buyer undertakes to buy and the Seller undertakes to sell The Goods, to ensure the proper and timely delivery of the Goods and carry out other obligations that are set forth in this Agreement.

TERMS OF DELIVERY

The Seller undertakes to deliver the Goods to the Buyer on the basis of EXW ([sandėlio adresas]) (INCOTERMS 2010). For avoidance of doubts, the Parties clearly agree that the Seller shall not be responsible for transportation, insurance, payment of taxes and duties and other obligations related to the import of the Goods to Buyer’s country and that such obligations shall be carried out solely by the Buyer at his own risk and costs.

The Seller undertakes to deliver the Goods (make them available at the warehouse for pick up) within [period of delivery] from the full payment of the Goods under the conditions set forth in art. 4.2 of the Agreement.

The packaging of The Goods must fulfill the ordinary requirements of shipment by to prevent the damaging of The Goods during transportation.

PRICE AND PAYMENT

The total price (hereinafter – “the Price”) of The Goods, sold under this Agreement, is [amount, currency] ([amount, currency in words]). The price is set taking into account the conditions of delivery that are set forth in art. 3.1 of this Agreement, i.e. the Price is final, inclusive of all taxes and duties and may not be increased.
