and

[legal form] [name of company], incorporated and acting in accordance with the laws of the Republic of Lithuania, legal entity code [code], having its registered office at [address], data about the company is accumulated and stored in [name of company register], represented by [title, name, surname], acting under [basis of representation] (hereinafter – “the Buyer”)

hereinafter in this Agreement collectively referred to as “the Parties” and individually – as “the Party”, have agreed and concluded this Sale – Purchase Agreement (hereinafter – “The Agreement”).

SUBJECT-MATTER OF THE AGREEMENT

The Seller undertakes to deliver and to transfer the Goods to the Buyer by the right of property, and the Buyer undertakes to accept the Goods and pay the price specified in the para. 3 of this Agreement.

In this Agreement the Goods are: [quantity, name, sort and assortment of the product, other attributes of the product (if any)]. Quality of the Goods shall meet the requirements applicable by European Union legislation. The Goods shall be delivered with the certificates and/or other documents, confirming the quality of the Goods.

DELIVERY AND TRANSFER OF GOODS

The Seller undertakes to deliver and transfer the Goods to the Buyer to [address] (hereinafter – „the Delivery place“).

The Goods shall be delivered to the Delivery place not later than [within x days since the signing of this Agreement / within x days since Buyer fully pays the price of the Goods to the Seller / by date].

The Buyer undertakes to unload at his own expense the delivered Goods and to accept the Goods not later that within 2 (two) hours since the delivery of Goods to the Delivery place.

If the Buyer fails to unload and accept the Goods at the Delivery place within the term set forth in the paragraph 2.3 of this Agreement, he shall pay a 100 EUR penalty for each hour of delay.

The fact of the transfer – acceptance of the Goods shall be formalized by signed shipping document (CMR) or other document, which confirms the transfer – acceptance of the Goods.
